TERMS & CONDITIONS

The Terms and Conditions below aim to provide a clear understanding of the expectations placed upon the client (you) and the Freelancer (me) during our time working together.

 

  1. These terms & conditions apply to any work done for the Client (you) and the Freelancer (trading as CB Editorial). 

  2. The Client is under no obligation to offer the Freelancer work; neither is the Freelancer under any obligation to accept work offered by the Client. 

  3. The Freelancer will provide service(s) as mutually agreed, confirmed by the Client (either via email, in writing or by verbal agreement). 

  4. Confirmation of the go-ahead to start work should be in writing by email and/or payment of a booking deposit. This will be taken as the Client’s acknowledgment that they have read and accepted the terms and conditions.

  5. Prior to the commencement of work the Client and Freelancer will agree on the medium in which the editing work will be carried out, the deadline for the finished project and the fee for the project.  

  6. The work will be carried out unsupervised at such times and places as determined by the Freelancer, using her own equipment. 

  7. The Freelancer confirms that she is self-employed, is responsible for her own income tax and National Insurance contributions and will not claim benefits granted to the Client's employees. The freelancer is not VAT registered at this time.

  8. The Freelancer agrees to attend in-person or online meetings if required, the time spent and agreed reasonable expenses incurred to be reimbursed by the Client.

  9. The Client will pay the Freelancer a fee per hour/day OR an agreed flat fee for the job.

  10. The completed work will be delivered on or before the date agreed, for the agreed fee, which will be based on the description of the work required and the brief, both supplied by the Client. 

  11. If, however, on receipt of the item to be worked on or at an early stage, it becomes apparent that significantly more work is required than had been anticipated in the preliminary brief, the Freelancer may renegotiate the fee and/or the deadline.

  12. Similarly, if, during the term of the Freelancer's work, additional tasks are requested by the Client, the Freelancer may renegotiate the fee and/or the deadline.

  13. If the project is lengthy, the Freelancer may invoice periodically for completed stages.

  14. Any content created by the Freelancer as part of the proofreading/ project management process will become the copyright of the Client, unless otherwise agreed.

  15. The nature and content of the work will be kept confidential and not made known to anyone other than the Client and its contractors without prior written permission. 

  16. The Freelancer does not use generative AI to draft recasts of text or open AI systems for client work. This ensures that the Client’s materials are never used for language model training and that your privacy and data are fully protected.

  17. The Client must give the Freelancer fair and reasonable feedback on the work done, and in a timely manner. 

  18. Although the Freelancer will endeavour to provide excellent work, there are some limits to what she can guarantee.

    • Owing to the subjective nature of editorial work, the Freelancer cannot guarantee that her editing will be a hundred per cent free of 'errors'.

    • The Freelancer is not responsible for how the Client uses the files edited and returned, or for any changes the Client makes to them.

    • The Freelancer cannot guarantee that an agent or publisher will accept a submission from the Client following the editing.

    • The Freelancer is not responsible for plagiarism in the Client’s document.

  19. If the Client does not get back to the Freelancer after two weeks, the Freelancer will assume the work is completed to an acceptable standard and that the job is complete.

  20. Unless agreed otherwise, payment will be made within 30 days of the Freelancer’s invoice being received. 

  21. In the unlikely event that the Client cancels the work during the project, the Freelancer reserves the right to invoice for 100% of the agreed fee.

  22. The information that the Client and the Freelancer may keep on record is covered by the terms of the General Data Protection Regulation (UK). No more information will be held than is necessary (e.g. contact details). No more such information will be held than is necessary, at any time, to comply with those terms and with any compliance statement or privacy policy published by the Client and/or the Freelancer.

  23. The Freelancer will not share the Client’s files with any third party or distribute the Client’s files by any means other than via email attachment between the Client and the Freelancer, unless given permission to do so, in writing, by the Client.

  24. The Client's name and company name may be used in the Freelancer’s promotional material only as agreed in writing with the Client.

  25. Either the Client or the Freelancer has the right to terminate a contract for services if there is a serious breach of its terms. 

  26. This agreement is subject to the laws of England and Wales, and both Freelancer and Client agree to submit to the jurisdiction of the English and Welsh courts.
